Terms of Service
Effective July 12, 2026
These Terms are a contract between you and Tool 33 LLC, 1007 N Orange St., 4th Floor, Suite 5908, Wilmington, Delaware 19801, New Castle County, United States (“Tool 33,” “42tools,” “we,” “us,” or “our”). They govern 42tools.com and our document-processing tools, accounts, credits, subscriptions, and related services (the “Service”).
By creating an account, purchasing, uploading content, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 and legally able to agree to these Terms. If you use the Service for an organization, you represent that you can bind it, and “you” includes that organization.
2. The Service
42tools provides automated tools that transform files into documents or structured outputs. Tool pages describe supported formats, pricing, and estimated processing times. Estimates are not guarantees, and beta tools may change or contain additional errors.
We may improve, modify, suspend, or discontinue features. We will not retroactively change a completed purchase price. Changes to an active subscription price apply only to a future renewal after any notice required by law.
3. Your content
You retain your rights in files, text, instructions, and other material you submit (“Input”). As between you and Tool 33, and subject to applicable law and third-party rights, you own outputs generated specifically from your Input (“Output”).
You give Tool 33 a limited, non-exclusive license to host, copy, process, transmit, and format Input and Output only as needed to provide, secure, troubleshoot, and operate the Service, comply with law, and enforce these Terms. We do not use Input or Output to train AI models.
You represent that you have all rights and permissions required to submit the Input and direct us to process it. Do not upload unlawful material, material that infringes another person’s rights, or material you are not authorized to disclose or process.
4. Acceptable use
- Do not break the law, violate privacy or intellectual-property rights, or create deceptive, fraudulent, or forged materials.
- Do not upload malware, seek unauthorized access, disrupt the Service, or bypass security, credit, or usage limits.
- Do not reverse engineer the Service except where law prohibits that restriction, overload it with automation, or resell access without written permission.
- Do not submit highly sensitive data unless you have determined the Service is appropriate and you have every required permission.
5. Automated output; no professional advice
Outputs may be incomplete, inaccurate, outdated, misleading, incorrectly formatted, or unsuitable. The Service can miss text, misread documents, make incorrect classifications, or produce other errors even when a tool describes checks or confidence flags.
You must review and verify every Output before using, publishing, filing, sending, paying, signing, or relying on it. 42tools is not a lawyer, accountant, doctor, financial adviser, safety professional, human-resources professional, or other qualified expert. Outputs are not legal, tax, medical, financial, employment, compliance, or other professional advice.
You are responsible for decisions and actions using an Output, including compliance with laws, contracts, filing requirements, accessibility rules, employment obligations, and professional standards.
6. Accounts
Provide accurate information, protect your credentials, and promptly report suspected unauthorized use to support@42tools.com. We may verify, restrict, or suspend an account to protect users or the Service.
7. Billing
Our Billing & Cancellation Policy, incorporated into these Terms, states prices, included credits, renewal, cancellation, failed-job credit returns, and refund rules. Paid subscriptions renew automatically until canceled. You may cancel through Manage billing in your account or through support@42tools.com, effective at the end of the current paid period unless law requires otherwise.
Stripe processes payments. You authorize us and Stripe to charge the selected payment method for disclosed charges, recurring fees, and applicable taxes.
8. Service ownership and providers
Tool 33 and its licensors own the Service, including software, workflows, designs, branding, and documentation. These Terms provide a limited, revocable, non-transferable right to use it; they do not transfer our technology.
The Service uses Clerk for authentication, Stripe for billing, Vercel for web hosting, Neon for managed database hosting, and Amazon Web Services for object storage. Our tool-deliverable AI inference runs on hardware Tool 33 owns and operates. We do not send uploaded files or tool instructions to third-party AI model providers for that processing.
9. Suspension and termination
We may suspend or terminate access for material breach, unlawful or harmful use, nonpayment, security risk, or to protect the Service or others. Where reasonable, we will provide notice and an opportunity to cure. Payment, ownership, disclaimer, liability, and dispute provisions survive termination.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TOOL 33 DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, AND THAT ERRORS OR DATA LOSS WILL NOT OCCUR.
We do not warrant that an Output is correct, legally sufficient, compliant, fit for filing or publication, or accepted by any person or organization. Nothing excludes a warranty or right that applicable law does not allow you to waive.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOL 33 AND ITS MEMBERS, PERSONNEL, AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA; OR SUBSTITUTE-SERVICE COSTS ARISING FROM THE SERVICE OR AN OUTPUT, EVEN IF ADVISED THAT DAMAGE IS POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TOOL 33 DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to liability that cannot lawfully be limited, which may include fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or non-waivable consumer rights.
12. Indemnification
To the extent permitted by law, you will defend and indemnify Tool 33 and its affiliates, personnel, and providers against third-party claims and reasonable costs arising from your Input, unlawful or unauthorized use, or material breach. This does not apply to the extent caused by Tool 33’s unlawful conduct or reduce non-waivable rights.
13. Wyoming law; changes
Wyoming law governs these Terms. Subject to any non-waivable right to bring a claim elsewhere, state courts in Laramie County, Wyoming and federal courts located in Wyoming have exclusive jurisdiction. Consumers retain mandatory protections and courts available under the law of their usual residence.
We may update these Terms prospectively by posting a revised version and effective date, with additional notice where required. If a provision is unenforceable, it will be limited to the minimum necessary and the remainder stays effective. These Terms, the Privacy Policy, and Billing & Cancellation Policy are the entire agreement unless a separate written agreement applies.
